These Terms of Service are between you and FamilytalkGPT Inc, doing business as Kochi, for use of the Kochi platform, APIs, documentation, and related services.
1. Eligibility and Accounts
You must be able to form a binding contract and, if you are using Kochi on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for the security of your account credentials, for all activity under your account, and for keeping registration details accurate.
2. Self-Serve and Business Use
Kochi is offered to both self-serve users and business customers. Self-serve accounts may be used under the online terms on this page. Business customers may also be subject to order forms, product schedules, or negotiated enterprise agreements, and those signed agreements take precedence over any conflicting online terms for the covered services.
3. Subscriptions and Payments
If you purchase a paid subscription, you agree to pay the fees shown at checkout or in your order form, plus applicable taxes. Unless a written agreement says otherwise, subscriptions renew automatically for the stated term, fees are non-refundable except where required by law, and we may suspend paid features for past-due accounts after notice.
4. Acceptable Use
You agree not to use Kochi to:
- violate law or infringe anyone else’s rights;
- probe, scan, or bypass access controls;
- upload malware, spam, or malicious payloads;
- misrepresent outputs as human-authored where that would be misleading;
- reverse engineer, resell, or scrape the service except where law permits; or
- interfere with service operation or other users’ access.
5. Customer Content
As between you and Kochi, you retain ownership of the prompts, files, outputs, and other content you submit to the service or generate through your account, except for Kochi’s own platform, templates, models, and underlying technology. You grant Kochi a limited, non-exclusive license to host, reproduce, process, transmit, display, and otherwise use Customer Content only as needed to provide, secure, support, and improve service functionality for you and your organization, without using Customer Content to train, fine-tune, or improve AI or machine learning models unless you explicitly opt in in writing.
6. No Training or Sale of Customer Content
Kochi does not sell Customer Content. Kochi also does not use Customer Content to train, fine-tune, or improve AI or machine learning models, including third-party models, unless you give explicit written opt-in for that purpose.
7. AI Features and Third-Party Providers
Kochi may route requests through third-party infrastructure and, when selected or configured, third-party model providers to power AI features. Providers may include Vercel, Neon, WorkOS, Mailmodo, Amplitude, Helicone, Braintrust, Sanity, OpenAI, Anthropic, and Google/Gemini. We use those providers to operate the service and requested AI workflows, not to sell your content, and we expect them to process data under their own contractual and security commitments.
8. Confidentiality for Business Customers
For business customers, each party may receive non-public information from the other in connection with the service. The receiving party will use that information only to fulfill its obligations under these Terms, protect it with reasonable care, and not disclose it except to personnel, affiliates, or service providers who need to know and are bound to keep it confidential.
9. Beta and Pre-Release Features
From time to time, Kochi may offer beta, preview, or experimental features. Those features are optional, may change or be discontinued, and may be less stable than production features. They are provided as-is, and you should not rely on them for workloads that require guaranteed uptime or feature permanence.
10. Privacy, DPA, and Related Policies
Our handling of personal data is described in the Privacy Policy, the Cookie Policy, and, for business processing, the Data Processing Addendum. Subprocessor and security details may also appear in the Subprocessors list, and security or disclosure procedures may be described in the Responsible Disclosure policy.
11. Suspension and Termination
We may suspend or terminate access if we reasonably believe you violated these Terms, created a security risk, failed to pay undisputed amounts when due, or if required by law. You may stop using Kochi at any time. Sections that by their nature should survive termination, including payment, intellectual property, confidentiality, disclaimers, limitations of liability, indemnity, and dispute terms, survive.
12. Disclaimers, Liability Limits, and Indemnity
Kochi is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, incidental, special, consequential, or punitive damages, and our aggregate liability is limited to the fees you paid to Kochi for the service giving rise to the claim during the twelve months before the event, or one hundred dollars if you used the free service only, whichever is greater, to the extent permitted by law.
You agree to indemnify Kochi and its affiliates, officers, employees, and service providers for claims arising from your Customer Content, your use of the service, or your breach of these Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of Delaware, without regard to conflict-of-law rules. The parties will first try to resolve disputes informally. If that does not work, disputes will be brought individually in the state or federal courts located in Delaware, and class or representative actions are waived to the fullest extent permitted by law.
14. Updates and Contact
We may update these Terms from time to time, and the new version will apply when posted unless a written agreement says otherwise. For questions about these Terms, contact support@kochi.so, including requests that require postal contact.
